US-listed BioAdaptives, Inc. (OTCID: BDPT) has signed a definitive agreement to acquire Xycota Biosciences LLC, a privately held biotechnology company developing experimental psychedelic medicines for psychiatric and neurological conditions.

Announced on 5 November 2026, the proposed acquisition would expand BioAdaptives beyond its existing nutraceutical business into pharmaceutical drug development.

Xycota’s lead programme focuses on low-dose oral psilocybin for mild post-traumatic stress disorder (PTSD), with the longer-term objective of developing a treatment that could potentially be administered at home without the pronounced psychedelic effects associated with conventional psilocybin therapy.

The company is also pursuing preclinical research involving psilocin for frontotemporal dementia, alongside exploratory work in traumatic brain injury and cognitive ageing.

The acquisition remains subject to closing conditions, and none of Xycota’s drug candidates has received regulatory approval or been administered in a clinical trial sponsored by the company.

Developing a low-dose alternative to supervised psychedelic therapy

One of the challenges facing psychedelic-assisted therapy is the time and clinical supervision required for treatment.

Conventional psilocybin treatment protocols can involve several hours of supervised dosing, alongside preparation and psychological support.

Xycota is investigating whether lower doses could produce therapeutic effects without requiring the same level of clinical supervision.

Its lead candidate, XYCO-02, is being developed as an oral psilocybin formulation intended to produce minimal noticeable psychedelic effects.

According to Xycota’s development pipeline, the company is preparing a Canadian clinical trial application for a proposed 28-day study evaluating a 1.5 mg oral dose in adults with mild PTSD.

The proposed placebo-controlled study would examine changes in PTSD symptoms and measure blood levels of brain-derived neurotrophic factor (BDNF), a protein associated with neuronal development and plasticity.

Xycota is targeting the first quarter of 2027 for its regulatory submission, although the proposed study remains subject to Health Canada authorisation, research ethics approval and financing.

Early research provides a scientific starting point

The company’s approach draws partly on research published in Neuropsychopharmacology in 2026, co-authored by Xycota Chief Scientific Officer Dr Marvin S. Hausman.

The study investigated repeated low-dose psilocybin administration in a rat model of Fragile X syndrome, a genetic condition associated with developmental and cognitive difficulties.

Researchers reported improvements in recognition memory, with findings implicating the BDNF/TrkB signalling pathway, which plays a role in neuronal survival and plasticity.

However, the research did not investigate PTSD or demonstrate that the same effects would occur in humans.

Whether low-dose psilocybin can meaningfully improve PTSD symptoms without producing noticeable psychedelic effects remains an unanswered clinical question.

Acquisition structured around equity and conditional financing

Under the proposed transaction, BioAdaptives would acquire 100% of Xycota’s membership interests, making it a wholly owned subsidiary.

No cash purchase price is payable. Instead, Xycota’s founders would receive convertible preferred shares representing 40% of BioAdaptives’ economic ownership and voting power immediately after issuance.

The agreement also establishes a separate voting arrangement under which BioAdaptives CEO James E. Keener would initially hold preferred shares carrying 51% voting control.

Those voting rights would transfer to Xycota’s founders following certain regulatory milestones or other events specified in the agreement.

The acquisition includes an initial US$150,000 financing arrangement, to be provided in four tranches after closing, subject to spending certification.

Additional investment rights totalling up to US$800,000 are contemplated over 36 months, including a US$400,000 milestone-linked investment and a further US$400,000 optional investment.

These amounts are conditional and should not be interpreted as funding already received or guaranteed to become available.

The company has also acknowledged that the issuance and conversion of preferred shares and convertible securities will dilute existing shareholders.

The agreement is scheduled to terminate if closing has not occurred by 30 June 2027.

A second programme targeting frontotemporal dementia

Beyond PTSD, Xycota is developing XYCO-01, an experimental psilocin candidate formulated using exosomes, small cell-derived structures being investigated as potential drug-delivery vehicles.

The programme is targeting frontotemporal dementia, a group of neurodegenerative disorders affecting behaviour, language and cognitive function.

Xycota has submitted a request for Orphan Drug Designation to the US Food and Drug Administration (FDA), although the designation has not been granted.

The programme remains preclinical, and further research will be needed to establish whether the proposed delivery method offers meaningful advantages over existing approaches.

An Orphan Drug Designation, if granted, could provide certain development incentives but would not constitute approval to market the treatment.

What happens next?

The immediate priorities are completion of the acquisition, securing the proposed financing and progressing XYCO-02 towards a clinical trial application in Canada.

For BioAdaptives, the transaction represents a potential expansion into psychedelic pharmaceutical development, while allowing its existing nutraceutical operations to continue separately.

For Xycota, the proposed arrangement offers a corporate structure and potential financing pathway for its early-stage programmes.

Whether its low-dose approach can deliver therapeutic benefits without conventional psychedelic treatment sessions will ultimately depend on evidence from human clinical trials.
